Terms of Service

1. Acceptance of Terms

By accessing or using Waybill, you agree to be bound by these Terms of Service. If you are using the service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these terms, you must not use the service.

2. Service Description

Waybill provides a cloud-based transport management platform including job dispatch, driver scheduling, fleet optimisation, passenger management, workflow automation, invoicing (including customer and driver-settlement invoicing), and an optional public booking form that lets your customers request trips and pay fares online. We may add, change, or remove features from time to time.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities under your account. You must notify us promptly of any unauthorised use.

4. Subscription & Billing

Waybill uses usage-based per-job billing, charged monthly based on the number of completed jobs. A 14-day trial with your first 50 jobs included is available with no credit card required. After the trial, you must add a payment method to continue using the service. You may cancel at any time; access continues until the end of the billing period. All fees are exclusive of tax. Any applicable tax (such as GST) is calculated based on the billing address you provide and added on top of the charges incurred on your subscription. You are responsible for keeping your billing address and any tax-status information accurate and current.

Changes to fees. We may vary our fees, rates, or tier thresholds from time to time. We will give you at least 30 days' written notice before a change takes effect, sent to the email address on your account or shown in the platform. Any change applies only to usage from the start of your first billing period beginning after the notice period ends — we will not re-price jobs you have already completed. If you do not accept a change, you may cancel at any time before it takes effect at no additional cost, and you will only be charged for usage incurred up to the end of your current billing period. Continuing to use the service after the change takes effect constitutes acceptance of the revised fees.

You are responsible for keeping a valid payment method on file and for ensuring fees are paid when due. If a payment fails, we may retry the charge and will notify you. If your account remains in arrears, we may suspend or restrict your access to the service until outstanding amounts are paid in full. Amounts that remain unpaid may be referred to a third-party debt collection agency or lawyers to recover the debt, and you agree to pay the reasonable costs of recovery (including debt collection and legal costs) to the extent permitted by law. Suspension, restriction, or referral for collection does not reduce or discharge fees already incurred, which remain payable.

5. Your Data & Your Responsibilities

You retain ownership of all data you enter into the platform. We do not claim any intellectual property rights over your content. We will not access your data except as necessary to provide the service or as required by law. Where you enter personal information about individuals (such as passengers, drivers, or NDIS participants), you are responsible for ensuring you have the necessary rights and consents to do so, and for complying with applicable privacy laws. We handle that information on your behalf as described in our Privacy Policy.

6. Our Intellectual Property

The Waybill platform, including its software, design, trademarks, and documentation, is owned by us and our licensors. These terms grant you a limited, non-exclusive, non-transferable right to access and use the service for your internal business purposes. You may not copy, modify, reverse-engineer, resell, or create derivative works from the platform.

7. Acceptable Use

You agree not to misuse the service, including attempting to access data belonging to other organisations, interfering with the service's operation, introducing malicious code, or using the service for unlawful purposes.

8. Third-Party Services

The platform may integrate with third-party services (such as accounting, mapping, and messaging providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

Where you enable the public booking form and online fare payments, passenger payments are processed through your own connected payment-provider account (for example, Stripe). You are the merchant of record for those fares — funds are paid directly to you, not to Waybill, and we do not hold, receive, or refund your customers' fares. You are responsible for onboarding with the payment provider, complying with its terms, setting your fares and any taxes on them, issuing refunds, and meeting your obligations to the passengers who book and pay through your form. Waybill provides the booking and payment interface only and is not a party to the transaction between you and your customer.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice where practicable. We are not liable for downtime caused by factors outside our reasonable control.

10. Warranties & Australian Consumer Law

The service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all implied warranties. Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded. Where our liability for breach of a non-excludable guarantee can be limited, it is limited (at our option) to resupplying the service or paying the cost of having it resupplied.

11. Limitation of Liability

Subject to clause 10, and to the maximum extent permitted by law, Waybill's total liability arising out of or in connection with the service is limited to the amount you paid for the service in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, or special damages, or for loss of profits, revenue, or data.

12. Indemnity

You agree to indemnify us against any claims, losses, or costs arising from your breach of these terms, your misuse of the service, or your breach of any law (including privacy laws) in connection with data you enter into the platform.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate access immediately if you materially breach these terms. Upon termination, you may export your data within 30 days. After 30 days, your data will be scheduled for deletion.

14. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the service after changes take effect constitutes acceptance of the updated terms.

15. General

If any provision of these terms is found to be unenforceable, the remaining provisions continue in effect. You may not assign these terms without our consent; we may assign them to a successor or affiliate. Our failure to enforce any provision is not a waiver of it. These terms constitute the entire agreement between you and us regarding the service.

16. Governing Law

These terms are governed by the laws of the State of Victoria, Australia. Any disputes shall be resolved in the courts of Victoria.
